Agreement to Terms
Welcome to AMS, operated by AGHRBA TECHNOLOGICAL SOLUTIONS ("we," "us," "our," or the "Service"). These Terms of Service ("Terms") govern your access to and use of our social media management platform and agency management system, including our website, applications, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
1. Description of Service
AMS is a multi-tenant agency management platform that provides social media management and business operations tools, allowing you to:
- Connect multiple social media accounts (Facebook, Instagram, LinkedIn, Twitter/X, TikTok, YouTube, Pinterest, Reddit, Threads, and others)
- Create, schedule, and publish content to your connected social media accounts
- Manage and organize your social media content
- View analytics and engagement metrics from your social media accounts
- Collaborate with team members on social media management
- Manage clients, brands, projects, and tasks
- Access other features and tools as provided from time to time
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
2. Account Registration and Security
2.1 Account Creation
To use the Service, you must:
- Create an account by providing accurate and complete information
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into a binding contract
- Provide a valid email address
- Create a secure password
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using strong, unique passwords
- Enabling multi-factor authentication (where available)
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3. Social Media Account Connections
3.1 OAuth Authorization
When you connect social media accounts to the Service:
- You authorize us to access and use your social media accounts through OAuth or similar authorization mechanisms
- You grant us permission to post content, retrieve analytics, and perform other actions based on the permissions you authorize
- You represent that you have the right and authority to grant these permissions
- You understand that you can revoke these permissions at any time through the Service or directly on the social media platform
3.2 Third-Party Terms
Your use of social media platforms is governed by their respective Terms of Service and policies:

You are responsible for complying with all third-party terms and policies. We are not responsible for any violations of third-party terms resulting from your use of the Service.
3.3 Account Disconnection
You may disconnect any social media account at any time through the Service settings. When you disconnect an account:
- We will immediately delete associated access tokens
- We will stop posting to that account
- Previously published content will remain on the social media platform
- You may lose access to analytics data associated with that account
4. Acceptable Use and Prohibited Conduct
4.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may use the Service to create and publish content to your social media accounts, schedule posts for future publication, analyze engagement and performance metrics, collaborate with team members, and manage your social media presence.
4.2 Prohibited Conduct
You agree NOT to:
Illegal or Harmful Activities:
- Violate any applicable local, state, national, or international law or regulation
- Engage in any activity that is fraudulent, false, misleading, or deceptive
- Post content that infringes intellectual property rights of others
- Post content that is defamatory, libelous, or violates privacy rights
- Post content containing malware, viruses, or other harmful code
Abuse and Harassment:
- Harass, threaten, intimidate, or abuse any person or entity
- Post content that is hateful, discriminatory, or promotes violence
- Engage in cyberbullying or targeted harassment
- Post sexual or violent content involving minors
Spam and Manipulation:
- Send unsolicited messages, spam, or bulk messaging
- Engage in manipulation, artificial inflation of engagement, or fake accounts
- Use bots, scripts, or automation to violate platform policies
- Engage in coordinated inauthentic behavior
Platform Violations:
- Violate the terms of service or community guidelines of any connected social media platform
- Bypass rate limits, restrictions, or security measures
- Attempt to gain unauthorized access to other accounts or systems
- Scrape, harvest, or collect user data without authorization
4.3 Content Responsibility
You are solely responsible for:
- All content you create, upload, post, or transmit through the Service
- Ensuring you have rights and permissions to post content (including images, videos, music, logos, trademarks)
- Compliance with copyright, trademark, and intellectual property laws
- Compliance with social media platform policies
- Compliance with advertising and disclosure regulations (e.g., FTC guidelines for sponsored content)
- Obtaining necessary consents and permissions from individuals featured in your content
We do not pre-screen, monitor, or approve content posted through the Service. However, we reserve the right to remove or refuse to post any content that violates these Terms or applicable laws.
5. Intellectual Property Rights
5.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by AGHRBA TECHNOLOGICAL SOLUTIONS and are protected by copyright, trademark, patent, and trade secret laws, international copyright treaties, and other intellectual property rights and laws.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service
- Reverse engineer, decompile, or attempt to extract source code
- Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
- Use our trademarks, logos, or branding without prior written permission
5.2 Your Content
Ownership: You retain all rights and ownership of content you create and post through the Service. We do not claim ownership of your content. You are solely responsible for your content.
License to Us: By posting content through the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit your content as necessary to provide the Service
- Display your content within the Service (e.g., in preview screens, calendars)
- Make backup copies for disaster recovery
- Analyze content in aggregated, anonymized form to improve the Service
This license exists only for the purpose of operating and improving the Service. We will not use your content for advertising or marketing purposes without your permission, sell or license your content to third parties, or claim ownership of your content.
6. Disclaimers and Limitations of Liability
6.1 Service Availability
We strive to provide reliable service, but:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis
- We do not guarantee uninterrupted, timely, secure, or error-free operation
- We do not guarantee that defects will be corrected
- Scheduled maintenance may temporarily disrupt the Service
6.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND ACCURACY.
6.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, goodwill, or business opportunities, service interruptions or data loss, third-party actions (including social media platforms), unauthorized access to your account or data, errors or omissions in content, or reliance on information provided by the Service.
Maximum Liability: Our total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. If you have not paid us, our liability is limited to $100 USD.
6.4 Indemnification
You agree to indemnify, defend, and hold harmless AGHRBA TECHNOLOGICAL SOLUTIONS, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including legal fees) arising from or related to your use of the Service, your content, your violation of these Terms, your violation of third-party rights (including intellectual property, privacy, or publicity rights), or your violation of applicable laws or regulations.
7. Term and Termination
7.1 Termination by You
You may terminate these Terms at any time by canceling your subscription (if applicable), deleting your account through account settings, or ceasing all use of the Service.
7.2 Termination by Us
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You engage in fraudulent, abusive, or illegal activity
- Your payment fails and you do not update your payment information
- We are required to do so by law or government request
- We discontinue the Service
- We determine, in our sole discretion, that your continued use poses a risk to us or others
7.3 Effect of Termination
Upon termination:
- Your right to access and use the Service immediately ceases
- We may delete your account, content, and data within 90 days
- Provisions of these Terms that should survive termination will remain in effect (including intellectual property rights, disclaimers, limitations of liability, indemnification)
- Refunds, where applicable, are handled in accordance with our Refund Policy, including our 30-day money-back guarantee
8. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top of these Terms
- For material changes, we will provide notice via email, in-app notification, or prominent notice on our website
- We will provide at least 30 days notice before material changes take effect
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription without penalty.
9. General Provisions
9.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.
9.2 Governing Law
These Terms are governed by and construed in accordance with the laws applicable to AGHRBA TECHNOLOGICAL SOLUTIONS, without regard to conflict of law principles.
9.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
9.4 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
